By accessing this website, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately discontinue use of this website.
Ponderosa Research LLC (“Ponderosa Research,” “we,” “us,” or “our”) is a limited liability company organized under the laws of the State of Arizona.
2. Eligibility
To access this website and purchase products, you must:

- Have received a valid invitation and completed account registration
- Be a qualified researcher or research assistant acting within the scope of legitimate in vitro laboratory research, or a purchasing agent acting on behalf of a research institution, academic institution, or commercial laboratory
- Have independently verified that the purchase and possession of requested compounds is lawful in your jurisdiction
- Agree to these Terms in full
We reserve the right to verify eligibility, request supporting documentation, and refuse or cancel any order or account at our sole discretion. Membership is invite-only and may be revoked at any time.
An invitation to access this website does not constitute a representation by Ponderosa Research LLC regarding the suitability of any product for your specific use, your qualifications, or the legality of any purchase in your jurisdiction.
3. Nature of Products and Intended Use
All products sold by Ponderosa Research LLC are intended strictly and exclusively for in vitro laboratory research purposes only. “In vitro” means outside of a living organism, in a controlled laboratory environment. Our products:

- Are NOT intended for administration to humans or animals in any form
- Are NOT intended for veterinary use

- Are NOT approved by the U.S. Food and Drug Administration to diagnose, treat, cure, mitigate, or prevent any disease, ailment, or medical condition
- Are NOT medicines, drugs, or dietary supplements
- Are NOT pharmaceutical-grade and have not been tested for safety or efficacy in humans or animals
All products are sold in research-grade form for in vitro laboratory use only. No dosing guidance, reconstitution instructions, protocols, recommendations, statements, or other information is provided or implied for human or animal use. Any interpretation or suggestion that a product is suitable for human or animal use is unauthorized, contrary to its intended purpose, and in direct violation of these Terms.
Ponderosa Research LLC does not provide, and expressly disclaims, any instructions, guidance, protocols, dosing information, or other representations, whether express or implied, regarding the use of any product in humans or animals. Any interpretation, inference, or suggestion that a product is suitable for human or animal use is unauthorized, unsupported, and in direct violation of these Terms.
4. Purchaser Representations and Warranties
By placing an order, you represent and warrant that:

- You are a researcher or research assistant purchasing these products solely for use in a legitimate, lawful in vitro laboratory research context
- You will not use, distribute, or resell any product for human or animal consumption or any purpose other than legitimate scientific research
- You have independently verified that the purchase and possession of the requested compounds is legal under all applicable federal, state, and local laws in your jurisdiction
- You assume full responsibility for compliance with all applicable laws and regulations
- You are affiliated with, or acting on behalf of, a research institution, laboratory, or qualified research setting appropriate for the handling of research compounds
- You are fully aware of the health, safety, and legal considerations associated with the products you are purchasing
- All products will be handled, stored, and disposed of exclusively by qualified laboratory professionals in an appropriate research setting, in accordance with applicable safety regulations
- You acknowledge that Ponderosa Research LLC has no ability to monitor, control, or verify the handling, storage, or use of any product following delivery, and that responsibility for all post-delivery handling rests exclusively and entirely with you
Ponderosa Research LLC relies on the foregoing representations and warranties in offering access to its website and products. Any false, misleading, or inaccurate representation made in connection with an account or order constitutes a material breach of these Terms and may result in immediate refusal or cancellation of any order, termination of account access, and any other remedies available at law or in equity. Providing false information during registration or at checkout constitutes fraud and voids all protections otherwise afforded to you under these Terms.
We reserve the right to deny any sale where we have reason to believe these representations are not accurate.
5. Prohibited Uses
You agree not to:

Any communication indicating intended use outside of legitimate in vitro research will result in immediate account termination and refusal of sale.
6. Orders, Pricing, and Payment
All orders are subject to acceptance by Ponderosa Research LLC. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, pricing errors, suspected fraud, or failure to meet eligibility requirements.
Prices are listed in U.S. dollars and are subject to change without notice. Payment must be received in full before any order is processed. Accepted payment methods are displayed at checkout.
You are solely responsible for all applicable taxes, import duties, and fees imposed by your jurisdiction.
7. Shipping
Orders are shipped within the United States via USPS or other carriers at our discretion. Shipping method and timing are not guaranteed. Risk of loss transfers to you upon delivery to the carrier.
We are not responsible for delays caused by carrier issues or circumstances beyond our control. You are responsible for ensuring products can be legally received at your delivery address.
Shipping to institutional or business addresses is strongly recommended.
8. Returns, Refunds, and Cancellations
Due to the nature of our products, all sales are final. Returns are not accepted.
Cancellation requests must be received before an order has shipped. Once an order has shipped, it may not be canceled.
If an order arrives with items that are incorrect or damaged, Ponderosa Research LLC may, at its sole discretion, review the matter and determine whether to issue a replacement, store credit, or other remedy. You must contact us promptly and provide reasonable documentation of the issue through ponderosaresearch.com/contact/.
This Section applies except where prohibited by applicable law.
9. Disclaimer of Warranties
All products and content are provided “as is” and “as available” without warranty of any kind, express, implied, or statutory. Ponderosa Research LLC expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Ponderosa Research LLC does not warrant that products are free from defects, that information on this website is accurate or complete, or that this website will operate without error.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Ponderosa Research LLC, its members, managers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of this website or any product purchased herein.
Our total liability for any claim arising out of or relating to these Terms or your use of our products shall not exceed the amount you paid for the specific product giving rise to the claim.

14. Assumption of Risk
Research compounds carry inherent risks including unknown toxicity, reactivity, and other hazards not fully characterized by existing scientific literature. By purchasing any product, you acknowledge these risks and confirm that all handling, storage, and disposal will be conducted exclusively by qualified laboratory professionals in an appropriate research setting, in strict accordance with applicable safety regulations.
You acknowledge that you have had the opportunity to review these Terms in full, that you understand their contents, and that your agreement is knowing, voluntary, and made with full awareness of the risks described herein. You are not relying on any representation by Ponderosa Research LLC regarding the safety, suitability, or fitness of any product for any particular use.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms, your use of this website, or any product purchased from Ponderosa Research LLC shall be brought exclusively in the state or federal courts located in Coconino County, Arizona, and you consent to the personal jurisdiction and venue of such courts.
Notwithstanding the foregoing, either party may bring an individual claim in small claims court in Coconino County, Arizona, provided the claim falls within that court’s jurisdictional limits.
Either party may elect to have any dispute resolved by binding arbitration in Coconino County, Arizona, administered by a recognized arbitration provider under applicable rules. An election to arbitrate by either party shall be binding on both parties. Any arbitration award may be entered as a judgment in any court of competent jurisdiction.
You waive any right to participate in any class action, class-wide arbitration, collective action, or representative proceeding.
Before initiating any legal proceeding, you agree to contact Ponderosa Research LLC and allow thirty (30) days for an opportunity to resolve the matter informally.
Nothing in this Section prevents either party from seeking temporary or emergency injunctive relief in a court of competent jurisdiction where necessary to prevent immediate and irreparable harm.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary. The remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Legal Disclaimer, Privacy Policy, and any additional policies referenced herein, constitute the entire agreement between you and Ponderosa Research LLC regarding your use of this website and purchase of our products.
